“Quotely AI”, “we”, “us” means the operator of the Quotely AI platform. “You” means the person or business using the service. “Service” means the website, dashboard, quoting tools, AI-assisted extraction, pricebook features, and any related software.

• • You must provide accurate account information and keep it up to date.
• • You’re responsible for maintaining the confidentiality of your login credentials.
• • You’re responsible for all activity that occurs under your account.

The Service may generate suggested quantities, line items, scope summaries, and pricing using AI and/or automated extraction (including from uploaded plans or other inputs). These outputs are estimates only and may be incomplete, inaccurate, out of date, or unsuitable for your job.

• • You are responsible for reviewing and confirming all quote details (including quantities, materials, scope, exclusions, compliance requirements, labour rates, GST, and pricing) before providing a quote to a client.
• • You are responsible for your own contracts with clients, including warranties and timelines.
• • You must ensure your work and any advice you provide complies with all applicable laws, codes, and regulations.

If you upload plans, photos, or documents, you confirm you have permission to do so and to use them for quoting. You must not upload content that violates third-party rights (including copyright), confidentiality obligations, or privacy laws.

You are responsible for the accuracy and legality of any client data you enter, store, or process using the Service.

• • Attempting to hack, disrupt, or reverse engineer the Service.
• • Using the Service to generate unlawful, misleading, or fraudulent quotes.
• • Uploading malware, or content that infringes intellectual property or privacy rights.
• • Using the Service in a way that causes unreasonable load or degrades performance for others.

Pricing and plan features may change over time. Trials (if offered) are provided for evaluation only. Unless stated otherwise, subscriptions renew automatically until cancelled.

If payments are handled via a third-party processor (e.g. Stripe), their terms may also apply.

We may modify, suspend, or discontinue any part of the Service at any time (including features marked “coming soon”). We try to keep the Service available, but we do not guarantee uninterrupted access.

Support is provided on a best-efforts basis. Response times are not guaranteed.

The Service may integrate with or rely on third-party services (hosting, storage, analytics, AI models, email delivery, payment processors). We are not responsible for third-party outages, errors, or actions.

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We disclaim all warranties (express or implied), including fitness for a particular purpose, non-infringement, and accuracy of outputs.

To the maximum extent permitted by law, Quotely AI is not liable for any loss, damages, costs, or claims arising from reliance on generated estimates, misquotes, omissions, errors, delays, business interruption, lost profits, lost data, or reputational harm.

To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service is limited to the amount paid by you for the Service in the preceding 3 months.

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and costs (including legal fees) arising from: (a) your use of the Service, (b) your quotes, estimates, or contracts with clients, (c) your uploaded content, or (d) your breach of these Terms or applicable law.

We own the Service, including its software, design, and branding. You retain ownership of your content (inputs, uploads, and quote outputs) to the extent permitted by law.

You grant us a limited licence to process your content solely to provide and improve the Service (for example: generating quotes, storing outputs, and debugging issues).

We may suspend or terminate access if you breach these Terms, misuse the Service, or create security or legal risk. You may stop using the Service at any time.

These Terms are governed by the laws of Australia (and the applicable state/territory where our business is based). You agree to submit to the courts of that jurisdiction.
